Terms of Service

These terms govern your use of the RIG-PRO Solutions website, the RIG-PRO desktop suite, the Solutions Portal, and the RIG-PRO Android apps, Toolbox and Scientific Calculator (together, the “Services”). By installing, accessing, or using any of them you agree to them. If you are agreeing on behalf of a company, you confirm you are authorized to bind it.

1. The licence we grant

Subject to these terms and to payment of the applicable fee, RIG-PRO grants you a non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes.

  • Desktop Suite is licensed per device as a one-time purchase. The licence covers the device it is activated on.
  • Universal Access is licensed per named user on a monthly or annual subscription and covers desktop, portal, and mobile access for that user.
  • RIG-PRO Toolbox is distributed through Google Play and is additionally subject to Google Play’s terms.
  • RIG-PRO Scientific Calculator is a free standalone utility, distributed through Google Play and subject to Google Play’s terms. It is not part of the suite and needs no licence, no account and no subscription. Sections 6, 10 and 11 apply to it in full.

2. What you may not do

You agree not to, and not to permit anyone else to:

  • copy, resell, sublicense, rent, or redistribute the Services;
  • reverse engineer, decompile, or attempt to derive the source code or the underlying engineering models, except to the extent that restriction is unenforceable by law;
  • share account credentials, or use one named-user licence to give access to several people;
  • circumvent access controls, including those protecting the hydraulics simulator and the Solutions Portal;
  • use the Services to build a competing product, or benchmark them for publication without our written consent;
  • upload malware, or interfere with the availability of the Services for anyone else.

3. Accounts

Portal access is invite-only. You are responsible for everything done under your account and for keeping your credentials confidential. Tell us promptly at info@rigprosolutions.com if you believe an account has been compromised. We may suspend an account that is being used in breach of these terms.

4. Fees, renewal, and refunds

Prices are shown on our pricing page and are exclusive of any applicable taxes. Subscriptions renew automatically for successive terms unless cancelled before the end of the current term; cancelling stops the next renewal and does not refund the term already paid for. One-time desktop licences are non-refundable once the licence key has been issued, except where a statutory right of withdrawal applies. We may change prices for future terms on 30 days’ notice.

5. Your data

Well data, fluid formulations, reports, and any other operational content you enter remain yours. You grant us only the limited licence needed to host, process, and transmit that content so the Services can function. Our handling of personal data is described in our Privacy Policy. You are responsible for having the right to enter the data you enter, including where it belongs to an operator or client of yours.

6. Engineering judgment and no reliance

This section matters more than any other in this document. RIG-PRO produces calculations, simulations, and reports that are intended to support engineering workflows. They are not a substitute for the judgment of a competent engineer, for your company’s operating procedures, or for applicable industry standards and regulations. You remain solely responsible for verifying every calculation, report, and simulation output before acting on it, and for all operational decisions taken at the well site. Do not use the Services as the sole basis for any decision affecting well control, personnel safety, or environmental protection.

7. Availability

The desktop suite is designed to run offline. The Solutions Portal and simulator are provided on an “as available” basis and may be interrupted for maintenance, updates, or causes outside our control. Unless we have signed a separate written service level agreement with you, we do not commit to a specific uptime figure.

8. Intellectual property

The Services, including the software, the engineering models behind them, the RIG-PRO name, and the site’s design, are owned by RIG-PRO Solutions and protected by intellectual property law. Nothing in these terms transfers ownership to you. If you send us feedback or suggestions we may use them without obligation to you.

9. Third-party services

The Services rely on third parties including Clerk for authentication and Google Play for mobile distribution. Their own terms apply to your use of them, and we are not responsible for their acts or omissions.

10. Warranty disclaimer

Except where the law does not allow it, the Services are provided “as is” and “as available”, without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy of results, or non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, RIG-PRO will not be liable for indirect, incidental, special, consequential, or punitive damages, nor for lost profits, lost production, well control incidents, non-productive time, or loss of data, however caused. Our total aggregate liability arising out of or relating to the Services will not exceed the amount you paid us for the Services in the twelve months before the event giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

12. Governing law

These terms are governed by the laws of [JURISDICTION TO BE CONFIRMED], and the courts of that jurisdiction have exclusive jurisdiction over any dispute arising from them, without regard to conflict of law rules.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your licence if you materially breach these terms and do not fix the breach within 30 days of us telling you about it. Sections 5, 6, 8, 10, 11, and 12 survive termination.

14. Changes to these terms

We may update these terms. Material changes will be notified to account holders at least 30 days before they take effect, and continuing to use the Services after that date means you accept them.
